1. Description of Services Consultant agrees to deliver a cohort-based finance Bootcamp for eCommerce founders. Services include:

• 9x Live Biweekly Presentations (recordings provided)
• AMA-style sessions in alternating weeks for open Q&A and follow-ups
• Templates, Tools & Case Studies
• Slack channel access for ongoing support and peer connection
• Guidance on building a customizable financial forecasting model (Note: Model-building is participant-led using provided templates. Full model builds by Consultant are available for an additional fee.)

This program requires a minimum commitment of 4 months, after which participants may choose to continue their access to ongoing live sessions and direct support from the Consultant. Continued participation beyond the initial 4 months will be billed at the same monthly rate.

2. Program Access Requirements Participant agrees to:

• Grant read-only access to their bookkeeping/accounting platform (e.g., Finaloop, QBO, Xero) for the duration of the program, for use exclusively in coaching and financial review.
• QBO users must authorize use of a secure data extraction tool (G-Accon) by the Consultant.
• Allow select financial metrics and ratios to be shared with the cohort for benchmarking and group learning purposes.
• Attend live sessions where possible; all sessions will be recorded and shared within the cohort only.
• Sign and abide by the separate Mutual NDA agreement, which extends to all participant interactions.

3. Payment Terms

• The program fee is $750 per month, billed at the beginning of each month for the minimum 4-month term.
• All payments are to be made by credit card unless otherwise agreed in writing.
• Additional services (e.g., custom model-building) will be quoted and billed separately upon request.

4. Refund Policy

• A 30-day money-back guarantee applies, beginning from the official program start date (April 30, 2025).
• Participants may request a full refund for any reason within the first 30 calendar days. After this period, all fees are non-refundable.

5. Termination

• Participant or Consultant may terminate this agreement by written notice. If terminated within the 30-day refund period, a full refund will be provided. If terminated after the initial 4-month commitment, the Participant will no longer be billed for future access.

6. Confidentiality & Recordings

• Participant agrees to maintain confidentiality of cohort-shared business information.
• Consultant will not share any session recordings or participant-specific information outside of the cohort without prior written consent.

7. Relationship of Parties

• The Consultant is an independent contractor, not an employee of the Client. No employee benefits shall be provided.

8. Indemnification

• Client agrees to indemnify and hold harmless Consultant from claims, expenses, or liabilities arising from Client’s actions or omissions.

9. Governing Law

• This Contract shall be governed by the laws of the State of New York.

10. Entire Agreement & Amendment

• This Contract, along with the signed NDA, constitutes the full agreement. Amendments must be made in writing and signed by both parties.
